Our docket ranges from U.S. Tax Court litigation and IRS examinations to entity formation, partnership governance, and business transactions.The Role We are seeking an Associate Attorney with0–3 years of experienceto support our private wealth practice, representing closely held businesses and their owners in transactions and controversies. This is a generalist position with room to specialize as your interests develop.Responsibilities include: Drafting and negotiating commercial contracts, purchase and sale agreements, and entity governance documentsStructuring closely held entities and advising owners on succession, buy-sell arrangements, and transfers of ownership interestsConducting due diligence and document review for business transactionsAssisting with federal and state tax administrative proceedingsAppearing at hearings, calendar calls, and status conferences in Georgia state and federal courtsTaking and defending depositions and managing discovery from issuance through resolutionDrafting pleadings, motions, discovery, and briefs in state and federal commercial disputesResearching and analyzing legal issues across tax, contract, and business lawCommunicating directly with clients, opposing counsel, and courtsQualifications Required: J.D. from an accredited law schoolAdmitted to practice in Georgia, or admission pending / eligible for admission by the start date0–3 years of experience, including judicial clerkships, in-house work, and relevant clerking or internship experienceWillingness and ability to litigate and sound oral advocacyStrong legal writing and research skillsComfort with direct client contact and the self-direction that a small-firm environment requiresPreferred: Accounting background (accounting degree, or public accounting or corporate tax department experience)Prior litigation experience, including clinic work, clerkships, mock trial, or moot courtCandidates without tax experience but with strong transactional or litigation fundamentals are encouraged to apply.
