Atlanta, Georgia, United States of AmericaGuardian Pharmacy is a long‑term care pharmacy services provider. This position is 100% on‑site and focuses on legal and compliance support for the company, including litigation, insurance, business insurance, risk management, corporate governance and public company securities compliance.Legal and Corporate SupportDraft and track restrictive covenant agreements, business associate agreements, confidentiality and nondisclosure agreements, and certain vendor agreements.Assist with routine customer contracts with attorney oversight, including preparing drafts on company templates, advising local pharmacy presidents and sales leadership on pricing standards.Assist with corporate governance initiatives, including entity formation filings and annual reporting.Support planning, scheduling, and preparation of materials (agenda, minutes and resolutions) for Board of Director meetings.Create and maintain organized files, records, contact lists, policies, and databases related to public company securities compliance and record‑keeping requirements.Maintain and update corporate ownership records, including stock ledgers and equity compensation documentation.Assist with matters relating to share issuances, including drafting of letters and Rule 144 and other opinions to stock transfer agent and communicating with various state and local agencies.Operations / AdministrationMaintain paper and electronic files of legal documents and track/follow up with the field on execution and filing of prepared contracts.Handle administrative tasks, including processing legal vendor and outside firm invoices and preparing expense breakdowns for the GC and CFO.Manage accounts with legal vendors such as DealRoom, DocuSign, Ironclad, NetDocuments, and RASi.Create and maintain internal legal and business standard operating procedures, best practices, and other resources to drive efficiency.Assist with creation of PowerPoint presentations for trainings and other purposes.InsuranceAssist with management of the company's insurance program and handling insurance claims.Serve as liaison between the insurance broker, pharmacies, and Atlanta Support Services for all claims.Monitor routine auto and workers' compensation claims; assist with claim analysis and benchmarking projects.Review third‑party insurance certificates and serve as liaison between underwriters and pharmacies for all requests for new certificates.Compliance and Litigation SupportAnalyze and respond to subpoenas, HIPAA records requests and other confidential information requests; coordinate with pharmacies to obtain requested records and redact confidential information as necessary.Support in‑house counsel with litigation matters, including organization of case files.Assist with other special compliance initiatives.Education & CertificationsBachelor's degree required.Paralegal certification or equivalent required.Skills and QualificationsAt least 10 years of related experience.Experience with Ironclad or other contract lifecycle management systems strongly preferred.Proven organizational skills and excellent PC skills, including Word, Excel, Access and PowerPoint.Ability to work to deadlines and handle multiple priorities.Excellent written, verbal and interpersonal communication skills.What We OfferCompensation & FinancialCompetitive pay401(k) with company matchFamily, Health & Insurance Benefits (Full‑time employees working 30+ hours/week only)Medical, Dental and VisionHealth Savings Accounts and Flexible Spending AccountsCompany‑paid Basic Life and Accidental Death & DismembermentCompany‑paid Long‑Term Disability and optional Short‑Term DisabilityVoluntary Employee and Dependent Life, Accident and Critical IllnessDependent Care Flexible Spending AccountsWellbeingEmployee Assistance Program (EAP)Guardian Angels (Employee assistance fund)Time OffPaid holidays and sick daysGenerous vacation benefits based on years of serviceThe Guardian DifferenceGuardian pharmacies are locally operated and empowered to tailor their business to meet clients' needs.
