The Associate Attorney will handle transactional matters related to real estate and business law for a diverse client base, including commercial real estate companies, nonprofits, hospitality clients, businesses, and local governments across Georgia.Daily responsibilities include conducting legal research, drafting contracts and ancillary transaction documents, conducting due diligence, reviewing title, and supporting clients through various stages of real estate and business transactions.As a small firm, we offer associates the opportunity for direct contact with senior partners, meaningful responsibility early in their careers, and a closer connection to client strategy.Our team includes elected officials, former candidates for office, appointed members of local government bodies, as well as attorneys who serve or have served as adjunct professors at leading law schools across the Southeast, creating an environment where associates can learn from attorneys with deep legal, civic, and academic experience.The position also provides opportunities to help grow niche practice areas, participate in pro bono work, and, when appropriate, take part in media interviews and other visibility efforts.This is a full-time, in-person position based in Decatur, Georgia.Key ResponsibilitiesAssist in all phases of real estate and business transactions, including conducting legal research, drafting contracts and secondary transaction documents, conducting due diligence, and reviewing titleFacilitate and participate in all phases of real estate and business transactions from letter of intent to closingIndependently review transactional documents and provide legal analysis and recommendationsManage transactions from initial intake through closing and/or final agreement executionMaintain and develop strong client relationshipsDraft and analyze contracts, loan documents, leases, share transfer agreements, sale agreements, and secondary transaction documentsPerform due diligence for risks, liabilities, and legal issues related to real estate and business transactionsRepresent clients in discussions to secure favorable terms and conditionsAssist with client understanding of legal structures and entity formationQualificationsJ.D. from an ABA‑accredited law schoolActive membership in the State Bar of Georgia in good standingStrong writing, research, and analytical skills with a proactive approachAbility to work independently while thriving in a collaborative team environmentExcellent organizational and time management skillsStrong commitment to client service and a passion for helping clientsOne to three (1-3) years of transactional real estate/business experience preferred#J-18808-Ljbffr
