This is a full-time, direct-hire opportunity located in the Buckhead area.This role is best suited for a tenured paralegal with recent experience at a U.S. law firm supporting corporate attorneys on sophisticated business, commercial, finance, governance, and transactional matters. Candidates should be proficient with billing time and supporting a fast-paced attorney group with a high level of accuracy, professionalism, and follow-through.Please ensure your applicable corporate, transactional, governance, entity formation, finance/lending, securities, and M&A experience is clearly highlighted on your most updated resume before applying.Schedule: Onsite for the first 90 days of onboardingHybrid: 1 work-from-home day per week after successful onboardingBillable requirement: 1,500 hours annuallyCompensation: $70,000 to $110,000, commensurate with experienceCriminal background check and professional references requiredPrimary ResponsibilitiesSupport corporate attorneys within a busy business and transactional practice groupAssist with commercial transactions, corporate governance, entity formation, finance/lending transactions, securities matters, and mergers and acquisitionsDraft, revise, review, and organize business and transactional documentsAssist with entity formation, maintenance, annual filings, corporate records, minute books, ownership records, and related governance materialsSupport diligence efforts, data room management, closing checklists, signature pages, closing binders, and post-closing organizationCoordinate filings with state, county, and regulatory agencies as neededAssist with lien searches, UCC-related matters, corporate records, and transaction supportCommunicate professionally with attorneys, clients, outside counsel, vendors, and filing agentsTrack deadlines, manage priorities, maintain organized files, and enter billable time accurately5+ years of recent and tenured U.S. law firm experience as a corporate, business, or transactional paralegalPrior experience supporting corporate attorneys in a mid-sized to large U.S. law firm is requiredAm Law, large law firm, or sophisticated business law experience is strongly preferredExperience billing time in a paralegal role is requiredIn-house candidates may be considered if they have strong corporate transactional and prior billing experienceStrong background in commercial transactions, corporate governance, entity formations, securities, finance/lending transactions, and M&A supportExperience with closing binders, diligence, data rooms, corporate filings, and business entity maintenanceStrong attention to detail, excellent written communication skills, and the ability to manage multiple prioritiesProficiency with Microsoft Office, Adobe/PDF tools, DocuSign, iManage, and large-scale document management systemsABA-Approved Paralegal Certificate or related degree preferredWhy This Opportunity Stands OutThis is a strong opportunity for a polished and experienced corporate paralegal who enjoys supporting sophisticated business transactions within a collaborative, high-performing legal team.
